ProperplexityAI Standard Subscription Terms

Effective upon your acceptance or first use of the Service.

These Subscription Terms (the “Terms”) constitute a legally binding agreement between you (“Customer” or “you”) and ProperplexityAI, Inc. (“ProperplexityAI,” “Company,” “we,” or “us”), governing your subscription to and use of ProperplexityAI’s artificial intelligence software and related services (collectively, the “Service”).

1. Service Description

1.1 Scope of Service

ProperplexityAI provides cloud-based artificial intelligence services, including but not limited to natural language processing, data analysis, generative AI, API access, and AI model training and inference.

1.2 Service Delivery

The Service is provided on a subscription basis and may be accessed via web interface, application programming interface (API), or other approved integration methods as made available by ProperplexityAI from time to time.

1.3 Availability

While ProperplexityAI endeavors to maintain a high level of Service availability, we do not guarantee that the Service will be free from interruptions, delays, errors, or security incidents. Scheduled maintenance, emergency maintenance, or events beyond our reasonable control may result in temporary Service unavailability.

2. Subscription and Billing

2.1 Subscription Term

Subscriptions are offered on a monthly or annual basis (or as otherwise specified in your order form), depending on the plan you select at the time of purchase (“Subscription Term”).

2.2 Automatic Renewal

Unless you cancel your subscription prior to the end of the then-current Subscription Term, your subscription will automatically renew for successive periods of the same duration at the then-current rates, and the applicable subscription fee will be charged to your designated payment method.

2.3 Pricing and Adjustments

ProperplexityAI reserves the right to modify subscription pricing, introduce new plans, or discontinue existing plans. Any price changes will be communicated to you at least fifteen (15) days prior to becoming effective, via email or in-Service notice. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the modified pricing.

2.4 Payments

You authorize ProperplexityAI or its third-party payment processor to charge all applicable fees to the payment method you provide. You are responsible for providing complete and accurate billing information and for keeping your payment details up to date.

2.5 Refund Policy

Subscription fees are non-refundable, except where required by applicable law. However, if a major Service outage prevents access to core Service features for more than seven (7) consecutive days during an active Subscription Term, ProperplexityAI may, at its discretion, issue a pro-rated refund or credit for the unused portion of that period.

3. Customer Responsibilities

3.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify ProperplexityAI of any unauthorized access or use of your account.

3.2 Lawful and Acceptable Use

You agree to use the Service only in compliance with these Terms and all applicable laws and regulations. You shall not use the Service to create, upload, generate, or distribute content that is:

Illegal or in violation of any applicable law or regulation;
Infringing upon intellectual property, privacy, or other rights of third parties;
Fraudulent, deceptive, or misleading;
Defamatory, harassing, abusive, hateful, or discriminatory;
Obscene, sexually explicit, or inciting violence or self-harm.

3.3 Data Ownership

All data, text, content, or materials you submit to or through the Service (“Input Data”) remain your property. ProperplexityAI does not claim ownership of your Input Data. You grant ProperplexityAI a limited, non-exclusive, worldwide, royalty-free license to process Input Data solely to provide, secure, maintain, and improve the Service, in accordance with these Terms and the ProperplexityAI Privacy Policy.

3.4 Prohibited Activities

You agree that you will not:

Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
Resell, rent, lease, sublicense, or otherwise provide the Service to third parties, except as expressly permitted;
Interfere with or disrupt the integrity or performance of the Service or related systems;
Circumvent or attempt to circumvent any usage limits, authentication, or security measures;
Access the Service in a manner intended to avoid incurring fees or exceeding usage quotas.

4. Intellectual Property Rights

4.1 Ownership of the Service

All rights, title, and interest in and to the Service, including but not limited to software, models, algorithms, interfaces, designs, documentation, and all improvements or derivative works thereof, are and shall remain the exclusive property of ProperplexityAI and its licensors. No rights are granted to you other than as expressly set forth in these Terms.

4.2 AI-Generated Output

The Service may generate content, data, or other outputs based on Input Data (“Output Data”). Subject to your compliance with these Terms and applicable law, ProperplexityAI assigns to you any rights it may have in the Output Data as between you and ProperplexityAI, and you may use Output Data for any lawful purpose, including commercial use.

4.3 Third-Party Rights

You are solely responsible for ensuring that your use of the Service and any Output Data complies with all applicable laws and does not infringe any third-party rights. ProperplexityAI makes no representation or warranty regarding the non-infringement of Output Data.

4.4 Feedback

If you submit comments, suggestions, or feedback regarding the Service (“Feedback”), you agree that ProperplexityAI may use such Feedback without restriction and without any obligation or compensation to you. You hereby irrevocably assign to ProperplexityAI all right, title, and interest in and to any Feedback.

5. Privacy and Data Protection

5.1 Data Collection and Use

ProperplexityAI may collect certain information related to your use of the Service, including usage metrics, technical logs, and device information, to ensure security, improve performance, and enhance user experience. Additional details are provided in the ProperplexityAI Privacy Policy, which is incorporated herein by reference.

5.2 Confidentiality

ProperplexityAI will maintain the confidentiality of your Input Data and Customer Data and will not disclose such data to third parties except (a) as required by law or legal process; (b) as necessary to provide the Service (including to subprocessors under appropriate data protection terms); or (c) with your express consent.

5.3 Data Retention and Deletion

Upon expiration or termination of your subscription, ProperplexityAI may retain your Customer Data for up to thirty (30) days, after which it will be deleted or anonymized in our systems, unless a longer retention period is required by law or agreed in writing. You are responsible for exporting or backing up your data before termination.

6. Disclaimers and Limitations of Liability

6.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPERPLEXITYAI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

PROPERPLEXITYAI DOES NOT WARRANT THAT THE SERVICE OR OUTPUT DATA WILL BE ACCURATE, RELIABLE, ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR ANY PARTICULAR USE CASE, NOR THAT ANY DEFECTS WILL BE CORRECTED.

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROPERPLEXITYAI’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EXCEED THE AMOUNT PAID BY YOU TO PROPERPLEXITYAI FOR THE SERVICE DURING THE IMMEDIATELY PRECEDING BILLING CYCLE.

6.3 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROPERPLEXITYAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF PROPERPLEXITYAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Term and Termination

7.1 Term

These Terms are effective as of the date you first accept them or first use the Service, whichever occurs earlier, and shall remain in effect for the duration of your Subscription Term, unless terminated earlier in accordance with this Section 7.

7.2 Termination for Cause

ProperplexityAI may suspend or terminate your access to the Service, with or without notice, if you materially breach these Terms, engage in fraudulent or unlawful activities, or use the Service in a manner that may cause harm to ProperplexityAI, the Service, or any third party.

7.3 Voluntary Cancellation

You may cancel your subscription at any time via your account settings or by contacting us at [email protected]. Cancellation will take effect at the end of the then-current Subscription Term, and you will remain responsible for all fees incurred through the end of that term.

7.4 Effect of Termination

Upon termination or expiration of your subscription, your right to access and use the Service will cease. Sections that by their nature should survive termination (including but not limited to payment obligations, intellectual property rights, confidentiality, disclaimers, limitations of liability, and dispute resolution) shall survive.

8. Governing Law and Dispute Resolution

8.1 Governing Law

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict-of-law principles.

8.2 Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including the breach, termination, or validity thereof, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in San Francisco, California, in accordance with its applicable rules. The language of arbitration shall be English. The award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

8.3 Injunctive Relief

Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of its intellectual property or proprietary rights.

9. Miscellaneous

9.1 Amendments

ProperplexityAI may revise these Terms from time to time. The most current version will be posted on our website, and the “Last Updated” date will be revised accordingly. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms.

9.2 Notices

Notices to you may be provided via email, in-Service notifications, or by posting on our website. Notices to ProperplexityAI should be sent to [email protected] or to any other contact address we may specify in writing.

9.3 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without ProperplexityAI’s prior written consent. ProperplexityAI may freely assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

9.4 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

9.5 Entire Agreement

These Terms, together with any applicable order forms and the ProperplexityAI Privacy Policy, constitute the entire agreement between you and ProperplexityAI regarding the Service and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral.
